Terms & Conditions

By accessing or using CofounderUp (the "Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and CofounderUp ("we", "us", "our"). We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance.

CofounderUp is a cofounder matching platform designed for early-stage founders in India. The Platform allows founders to create profiles, complete compatibility assessments, and — once matching is live — connect with potential cofounders based on personality, work-style, and vision alignment.

CofounderUp is currently in pre-launch. Features including cofounder matching are not yet live. By joining the waitlist, you are expressing interest in accessing the Platform when it launches. We make no guarantee of a specific launch date.

To use CofounderUp, you must:

• Be at least 18 years of age
• Be a human individual (not a company, bot, or automated agent)
• Have the legal capacity to enter into a binding agreement
• Provide accurate and truthful information during registration

Use of the Platform by persons under 18 is strictly prohibited. We reserve the right to terminate accounts that we reasonably believe are operated by minors or on behalf of entities rather than individuals.

You register by providing your email address, which we verify via a one-time link. You are responsible for maintaining the security of your account and for all activity that occurs under it.

You agree to provide accurate, current, and complete information, and to update it as necessary. We reserve the right to suspend or terminate accounts where information is found to be false, misleading, or incomplete.

Account credentials (magic links) are single-use and time-limited. Do not share magic links with anyone.

You agree not to use the Platform to:

• Provide false, misleading, or fraudulent information about yourself
• Impersonate any person or entity
• Harass, abuse, threaten, or intimidate other users
• Spam, solicit, or send unsolicited commercial communications
• Attempt to gain unauthorised access to any part of the Platform
• Use automated tools, bots, or scrapers to access the Platform
• Upload or transmit viruses, malware, or malicious code
• Use the Platform for any purpose that is unlawful under Indian law or the laws of your jurisdiction
• Circumvent or interfere with any security or access-control mechanisms

Violation of these restrictions may result in immediate account suspension or termination, and may be referred to law enforcement.

All content on the Platform — including text, graphics, logos, design, code, and the CofounderUp name and brand — is owned by or licensed to CofounderUp and is protected by applicable intellectual property laws.

You retain ownership of the content you submit (profile information, quiz responses, Founder Diaries submissions). By submitting content, you grant CofounderUp a non-exclusive, royalty-free, worldwide licence to use, store, display, and process that content for the purpose of operating and improving the Platform.

You may not reproduce, distribute, or create derivative works from any Platform content without our prior written consent.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully to understand how we collect and use your personal data.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or free of viruses
• Any cofounder matches will result in successful partnerships
• Information provided by other users is accurate, complete, or up to date
• The Platform will meet your specific requirements or expectations

Cofounder compatibility scores and trait assessments are informational tools, not guarantees of partnership success. You are solely responsible for your own decisions about who to work with.

To the fullest extent permitted by applicable law, CofounderUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed ₹1,000 (Indian Rupees one thousand) or the amount you paid us in the 12 months preceding the claim, whichever is lower.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Indian law.

You agree to indemnify and hold harmless CofounderUp, its founders, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.

The Platform may contain links to third-party websites or services (for example, YouTube or Loom links in Founder Diaries). These are provided for convenience only. CofounderUp does not endorse and is not responsible for the content, privacy practices, or reliability of third-party sites.

Your interactions with third-party services are governed by their own terms and privacy policies.

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms.

You may request deletion of your account at any time by emailing hello@cofounderup.com. On deletion, your personal data will be removed in accordance with our Privacy Policy.

Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall survive.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Subject to the dispute resolution clause below, any disputes shall be subject to the exclusive jurisdiction of the courts of India.

In the event of a dispute, we encourage you to first contact us at hello@cofounderup.com so we can attempt to resolve it informally. We aim to respond to all disputes within 10 business days.

If informal resolution is not possible, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be India. Arbitration proceedings shall be conducted in English.

Nothing in this clause prevents either party from seeking emergency or interim relief from a court of competent jurisdiction.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify registered users by email.

Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, please stop using the Platform.
